These Terms of Use and End User License Agreement (the “Terms”) are a legal agreement between you and MemoCove LLC (“MemoCove,” “we,” “us,” or “our”) governing your use of the MemoCove app and website (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service. We have tried to keep them clear; if anything is unclear, just ask us.
1. Eligibility
You must be at least 13 years old (or the higher minimum age required in your country) to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms.
2. Your account
You are responsible for the activity that occurs under your account and for keeping your sign-in details secure. You agree to provide accurate information and to tell us promptly if you notice any unauthorized use of your account. If you sign in with Apple, Google, Facebook, or X, that provider’s own terms also apply to your use of their sign-in.
3. License to use the app
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.
4. Your content
You own the content you create and share on the Service. By posting content, you grant MemoCove a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely for the purpose of operating and providing the Service to you and the audiences you choose. This license ends when you delete the content or your account, except that residual copies may remain in backups for a limited period. You are responsible for your content and represent that you have the rights necessary to share it.
Please remember that anything you post as Public can be seen by anyone on the Service, and that people who can see a post can also see its comments and any place you attached to it.
5. Acceptable use
You agree to use the Service in accordance with our Community Guidelines, which are incorporated into these Terms. Among other things, you must not use the Service to post unlawful, harmful, harassing, or infringing content; to abuse other users; to get around the Service’s limits or safety tools; to collect other users’ information without their consent; or to interfere with the operation or security of the Service.
6. MemoCove Pro, subscriptions, and purchases
The Free plan includes everyday sharing with some limits. MemoCove Pro is an optional paid subscription, billed monthly or yearly, that lifts those limits. The price is shown to you before you buy, and a subscription purchased on one platform is honored everywhere you use MemoCove.
Subscriptions are sold through the Apple App Store, Google Play, or our web checkout (operated by RevenueCat, with payments processed by Stripe), under the terms of the store or checkout you use. A subscription renews automatically at the end of each billing period until you cancel it. You can cancel at any time; to avoid being charged for the next period, cancel before it renews (for App Store purchases, at least 24 hours before the end of the current period). Manage or cancel a subscription where you bought it: in your App Store or Google Play account settings, or, for web purchases, through Manage subscription in your MemoCove account on the web. Cancelling keeps Pro active until the end of the period you have paid for.
Refund requests for App Store or Google Play purchases are handled by Apple or Google under their own policies. Otherwise, except where required by law, payments are non-refundable.
7. Changes to the Service
MemoCove is a small product that keeps evolving. We may add, change, or remove features and adjust plan limits over time. Where a change is significant, we will do our best to let you know in advance.
8. Termination
You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access if you violate these Terms or the Community Guidelines, or to protect the Service or its users. A suspended account cannot sign in and its content is hidden from other users; we will email you when this happens, and if you believe we got it wrong you can write to support@memocove.com and we will take another look. Sections that by their nature should survive termination will survive.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, MemoCove will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising out of or in connection with your use of the Service.
11. Indemnification
You agree to indemnify and hold MemoCove harmless from any claims, damages, liabilities, and expenses arising out of your content, your use of the Service, or your violation of these Terms.
12. Governing law
These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules, except where mandatory local law provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, let you know within the Service. Your continued use of the Service after an update means you accept the revised Terms.
14. Apple App Store additional terms
The following additional terms apply if you download the MemoCove app from the Apple App Store. In the event of a conflict between this section and the rest of these Terms with respect to the App Store version of the app, this section controls for that purpose.
- Acknowledgement. These Terms are between you and MemoCove only, and not with Apple. MemoCove, not Apple, is solely responsible for the app and its content.
- Scope of license. The license granted to you for the app is limited to a non-transferable license to use the app on any Apple-branded products that you own or control, as permitted by the App Store Usage Rules.
- Maintenance and support. MemoCove is solely responsible for providing any maintenance and support for the app. Apple has no obligation to provide any maintenance and support services.
- Warranty. MemoCove is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Product claims. MemoCove, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- Intellectual property rights. In the event of any third-party claim that the app or your use of it infringes that party’s intellectual property rights, MemoCove, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer contact. Questions, complaints, or claims regarding the app should be directed to support@memocove.com.
- Third-party terms. You must comply with applicable third-party terms of agreement when using the app.
- Third-party beneficiary. You acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
